Terms of Service

1. Accounts and organizations

You must provide accurate information and keep your credentials, API keys and S3 credentials secure. You are responsible for all activity under your account and your organization's keys. Organization owners and admins control membership, roles and keys, and are responsible for the actions of members they invite.

2. Your data

"Customer Data" means the files, metadata and other content you or your users upload. You retain all rights to Customer Data. You grant DatasetSync a limited license to host, copy, transmit, process and display Customer Data solely to provide, secure and support the Service, including replicating it to the archival storage providers described below. We do not use Customer Data to train models or sell it to anyone.

You represent that you have all rights and consents needed to upload Customer Data, including for any personal data it contains, and that your use complies with our Acceptable Use Policy.

3. Archival storage

The Service archives Customer Data to a durable archival tier. Archived data is split into segments, encrypted, and stored by independent third-party storage providers, which may be located in countries other than yours, under fixed-term storage contracts.

When you delete data, we remove it from our hot tier, revoke access through the Service and stop renewing the associated archival storage. Copies held by storage providers may persist until their existing storage contracts expire, and we cannot compel their earlier removal. You should encrypt sensitive or regulated data client-side before uploading it. See our Privacy Policy for details.

4. Plans, fees and quotas

Paid plans are billed monthly in advance, with usage beyond your plan's included storage and egress billed in arrears at the rates on our pricing page. Fees are non-refundable except where required by law. Free plans are subject to hard storage limits; uploads exceeding your quota are rejected. We may change prices with at least 30 days' notice, effective at your next billing period.

If payment fails we may, after notice, suspend uploads or access until the balance is paid. Data in suspended accounts is retained for at least 30 days before deletion.

5. Acceptable use

You must comply with the Acceptable Use Policy. We may suspend or remove content, keys or accounts that violate it, that threaten the security or integrity of the Service, or where required by law.

6. Availability and changes

We work to keep the Service available and publish its current state on our status page. Unless you have a separate agreement with a service level commitment, the Service is provided without an availability guarantee. We may modify features; we will give reasonable notice of changes that materially reduce functionality you rely on.

7. Termination

You may stop using the Service and delete your organization at any time. We may terminate these Terms for material breach not cured within 15 days of notice, or immediately for serious violations of the Acceptable Use Policy. After termination you will have 30 days to export Customer Data (unless termination was for abuse), after which we delete it as described in section 3.

8. Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. You are responsible for maintaining independent copies of data you cannot afford to lose.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES OR LOST PROFITS, AND DATASETSYNC'S TOTAL LIABILITY IS LIMITED TO THE FEES YOU PAID IN THE 12 MONTHS BEFORE THE CLAIM.

10. General

We may update these Terms; material changes will be notified by email or in the dashboard at least 30 days before they take effect. These Terms are the entire agreement between you and DatasetSync regarding the Service unless superseded by a signed agreement. Questions: [email protected].
